Terms of Service

Effective Date: February 28, 2026

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Web3 Studios LLC ("Company," "we," "us," or "our"), governing your access to and use of the Kinexis.AI platform, website, API, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of Service

Kinexis.AI is an AI-powered video authenticity and behavioral analysis platform. The Service allows users to upload video files or submit video URLs for automated deepfake detection, manipulation screening, behavioral pattern analysis, and credibility signal analysis. The Service uses artificial intelligence models to generate analysis reports including authenticity signals, transcripts, behavioral timelines, and summary findings.

The Service is provided for informational and research purposes only. Analysis results are AI-generated and do not constitute professional, legal, medical, psychological, or forensic advice. You should not rely on analysis results as the sole basis for any decision with legal, financial, employment, or personal consequences.

4. Account Registration

To use the Service, you must create an account by providing a valid email address and password, or by authenticating through a supported third-party provider (e.g., Google). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

5. User Responsibilities and Content Consent

You are solely and entirely responsible for all content you upload to or submit through the Service, including all video files and URLs ("User Content").

By using the Service, you represent and warrant that:

  • You have obtained all necessary consents, permissions, and authorizations from every identifiable individual appearing in any video you submit for analysis, including consent for their likeness and biometric data to be processed by artificial intelligence systems.
  • Your use of the Service complies with all applicable local, state, national, and international laws and regulations, including without limitation privacy laws, biometric data laws, wiretapping and surveillance laws, and consent-recording statutes.
  • You will not use the Service for any unlawful, harassing, abusive, defamatory, or otherwise objectionable purpose.
  • You will not upload content depicting minors.
  • You will not use the Service to make employment, legal, or law-enforcement decisions based solely on AI-generated analysis results without independent professional review.

We do not review, screen, or verify User Content prior to analysis. We assume no liability for User Content or for your failure to obtain required consents.

6. Public Analyses

By default, analyses are public. Public analyses are visible to all visitors on the Kinexis.AI website and may appear in search engine results.

If you do not want your analysis to be publicly visible, you must select the Private option at the time of submission, which is available for an additional fee.

You acknowledge and agree that by submitting a public analysis, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to display, distribute, and promote the analysis results and associated highlight clips through any medium.

7. Payment Terms

7.1 Consumer Pay-Per-Analysis

Individual analyses are priced based on video duration. The applicable price tier is displayed before checkout. All payments are processed through Stripe. Prices are in U.S. dollars and are subject to change with notice.

7.2 Enterprise Subscriptions

Enterprise plans are billed on a monthly or annual basis and include a set number of analyses per billing period. Usage beyond the included allocation is billed as metered overage. Enterprise terms may be further governed by a separate order form or service agreement.

7.3 No Refunds

All sales are final. No refunds will be issued once an analysis has been submitted for processing. This applies to both individual analyses and enterprise subscription fees. By completing a purchase, you acknowledge and agree to this no-refund policy.

7.4 Taxes

You are responsible for any applicable taxes associated with your use of the Service. Prices displayed may not include taxes, which will be calculated at checkout where required by law.

8. Intellectual Property

8.1 Service Ownership

The Service, including its design, features, code, AI models, algorithms, branding, and documentation, is the exclusive property of Web3 Studios LLC and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

8.2 Analysis Results

All analysis results, reports, transcripts, expression data, and derived outputs generated by the Service ("Output") are owned by Web3 Studios LLC. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Output for your internal purposes.

Enterprise customers may receive additional licensing rights as specified in their service agreement or order form.

8.3 User Content License

You retain ownership of the User Content you submit. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to process, store, analyze, and (for public analyses) display and distribute the User Content as necessary to provide the Service and as described in these Terms.

9. Report Usage Policy

9.1 Permitted Uses

Subject to your compliance with these Terms and payment of applicable fees, you may:

  • Read and use report content for personal decision-making and internal reference.
  • Share findings verbally or in summary form (facts and ideas contained in a report are not themselves copyrightable).
  • Quote brief excerpts from a report with attribution to "Kinexis.AI" in accordance with fair use principles.

9.2 Prohibited Uses

Unless you have received prior written permission, you may not:

  • Republish a full report on another website or platform.
  • Redistribute reports to third parties (the license granted to you is non-transferable).
  • Incorporate report content into a commercial product or service without a separate commercial license.
  • Extract analytical methodologies, prompt structures, or frameworks from reports to build a competing tool (protected by trade secret and contract).

9.3 Screenshots and Social Sharing

Sharing screenshots of specific report findings on social media is permitted provided the Kinexis.AI branding remains visible and the post does not reproduce the report in its entirety. We reserve the right to request removal of screenshots that misrepresent report findings or remove attribution.

10. Media and Press Use

Journalists and media outlets may reference Kinexis.AI analyses under the following conditions:

  • Linking: Media outlets are encouraged to link directly to the public analysis page on Kinexis.AI.
  • Quoting: Brief excerpts may be quoted with attribution to "Kinexis.AI."
  • Screenshots: Screenshots of specific findings may be embedded provided Kinexis.AI branding is visible.
  • Wholesale reproduction: Reproducing a report in its entirety is prohibited without prior written permission.

11. Enterprise API Terms

Enterprise customers with API access are subject to the following additional terms:

  • API keys are confidential. You must not share, publish, or embed API keys in client-side code or public repositories.
  • API usage is subject to rate limits. We reserve the right to adjust rate limits at any time.
  • You must not use the API to build a competing service, resell analysis results, or provide the Service's functionality to third parties without our written consent.
  • We may suspend or revoke API access for violations of these Terms or for usage patterns that degrade the Service for other users.

12. Prohibited Uses

You agree not to:

  • Use the Service to violate any applicable law or regulation.
  • Upload content for which you lack the necessary rights or consents.
  • Attempt to reverse-engineer, decompile, or extract the AI models, algorithms, or source code underlying the Service.
  • Circumvent or attempt to circumvent access controls, rate limits, payment mechanisms, or security measures.
  • Use automated systems (bots, scrapers, crawlers) to access the Service without our written permission.
  • Introduce malware, viruses, or any other harmful code.
  • Use the Service to harass, stalk, threaten, or intimidate any person.
  • Resell, sublicense, or commercially redistribute the Service or its Output without authorization.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

  • Analysis results are accurate, complete, or reliable.
  • The Service will be uninterrupted, secure, or error-free.
  • The Service will meet your specific requirements or expectations.
  • Any AI-generated output constitutes professional advice of any kind.

You acknowledge that AI-powered video authenticity verification and behavioral analysis is an evolving technology with inherent limitations. No detection system catches all deepfakes, and behavioral patterns are probabilistic assessments, not verdicts. Results should be interpreted with professional judgment and not used as a sole determinant for any consequential decision.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WEB3 STUDIOS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

15. Indemnification

You agree to indemnify, defend, and hold harmless Web3 Studios LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service.
  • Your User Content, including any failure to obtain required consents from individuals depicted in submitted videos.
  • Your violation of these Terms.
  • Your violation of any applicable law, regulation, or third-party right.
  • Any claim by a third party arising from content you submitted to the Service.

16. Binding Arbitration and Class Action Waiver

16.1 Arbitration Agreement

You and Web3 Studios LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights.

16.2 Arbitration Rules

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in San Juan, Puerto Rico, by a single arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.3 Class Action Waiver

YOU AND WEB3 STUDIOS LLC AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

16.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@kinexis.ai within thirty (30) days of first accepting these Terms. The opt-out notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of the arbitration agreement.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to its conflict of law provisions. To the extent that litigation is permissible under these Terms, you consent to the exclusive jurisdiction of the federal and commonwealth courts located in Puerto Rico.

18. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. We are not liable to you or any third party for any termination of your access.

You may delete your account at any time by contacting us. Sections 5, 6, 8, 9, 10, 13, 14, 15, 16, and 17 shall survive termination.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least fourteen (14) days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

20. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy and any applicable enterprise agreement, constitute the entire agreement between you and Web3 Studios LLC regarding the Service.
  • Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision.
  • Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control.

21. International Use Restrictions

The Service is operated from, and governed by the laws of, the United States. The Service is not offered to residents of the European Union or European Economic Area (EU/EEA) for use in contexts regulated by the EU Artificial Intelligence Act (Regulation (EU) 2024/1689), including but not limited to:

  • Employment decisions (hiring, promotion, termination, or performance evaluation).
  • Educational assessment or academic evaluation.
  • Law enforcement, criminal justice, or border control decisions.
  • Any other use classified as "high-risk" or "prohibited" under the EU AI Act.

EU/EEA users who access the Service for other purposes do so at their own discretion and accept sole responsibility for ensuring compliance with all applicable local laws and regulations.
